1. Acceptance of Terms

By accessing or using the Agriloom platform (the "Service"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Agriloom is an agricultural trade orchestration platform that connects smallholder farmers with vendors and industrial buyers. Our Service includes:

• Digital marketplace for agricultural produce
• Lot aggregation and management tools
• Order processing and payment facilitation
• Logistics optimization and collection planning
• Mobile and web applications

3. User Accounts

Registration

To use certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

User Roles

Different roles (Farmer, Vendor, Buyer, Admin) have different permissions and responsibilities. You agree to use only the features appropriate for your registered role.

4. User Conduct

You agree not to:

• Provide false or misleading information about produce quality, quantity, or pricing
• Engage in fraudulent transactions or misrepresent your identity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal purpose
• Harass, abuse, or harm other users
• Collect user information without consent

5. Listings and Transactions

For Farmers

You are responsible for accurately describing your produce, including type, quantity, quality grade, and location. You agree to honor accepted offers and make produce available for collection as agreed.

For Vendors

You are responsible for accurately aggregating and representing lot contents. You agree to facilitate fair transactions between farmers and buyers.

For Buyers

You agree to pay for orders as agreed and collect produce within the specified timeframe. Disputes should be raised within 24 hours of collection.

6. Payments and Fees

Agriloom may charge transaction fees or service fees for using the platform. These fees will be clearly disclosed before any transaction is completed.

Payment processing is handled by third-party providers. By using the Service, you also agree to their terms of service.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Agriloom and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works from any part of the Service without express written permission.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee:

• The quality, accuracy, or reliability of any produce listed
• That the Service will be uninterrupted or error-free
• The conduct or reliability of any user
• Any specific results from using the Service

9. Limitation of Liability

To the maximum extent permitted by law, Agriloom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of profits, revenue, or data
• Failed or disputed transactions
• Produce quality issues
• Third-party conduct

10. Indemnification

You agree to indemnify and hold harmless Agriloom and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Kenya.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes. Continued use of the Service after changes constitutes acceptance of the new Terms.
